Overview

The Corporate General Counsel (CGC) is responsible for leading corporate strategic and tactical legal initiatives for the organization. The CGC provides senior management with effective advice on company strategies and their implementation. The CGC is directly involved in complex business transactions in negotiating critical contracts and workforce immigration matters. The CGC provides legal counsel to chief executive officer, senior management as well as other members of all business units and at levels within the organization. The successful CGC will effectively minimize probability of exposure while ensuring the business continues to grow and expand.

Qualifications

  • Juris Doctor/Law degree. Admitted to the bar in at least one state Bar and ability to register as in-house counsel in Florida. 
  • Minimum 7 years in-house counsel experience within a for-profit organization experience required which should include experience that reflects increased responsibilities for the organization, working with executive leadership and/or organizational Board.
  • Prior experience in a law firm environment in a legal assistant, paralegal, or attorney role is considered an advantage.
  • Experience managing other attorneys and supervising support staff in a corporation required; experience with cost-effective management of outside legal resources.
  • Experience in directing strategy and managing litigation cases, generally labor and employment including class action. 
  • Strong, effective communication skills and ability to communicate effectively with all levels of associates, team members, customers, vendors and clients verbally and in writing.
  • Ability to effectively present to and educate legal related matters to the company and its stakeholders in a manner that is able to be utilized in every day operations.
  • MA or BS in Business Administration will be considered an advantage.

Essential Functions

  • Advise the Company and senior management on a broad range of federal and state regulatory and compliance matters, including identifying areas of risk and making suggestions for improvement.
  • Provide accurate and timely counsel to executives and/or business unit members in a variety of legal topics, including but not limited to human resources, merger and acquisition, real estate, labor matters, litigation matters, partnerships, contracts, vendor services, etc.
  • Oversee the legal aspects of the Company’s global workforce through non-immigrant H-2B and J1 visas including but not limited to required legal filings with the Department of Labor and Department of Homeland Security as well as overseeing any audits or requests for information related to non-immigrant visas.
  • Managing outside counsel and developing strategy for litigation, regulatory proceedings and legal matters requiring additional legal support. 
  • Structures and manages the company’s internal legal function and staff.
  • Negotiate and/or support negation of transactions on behalf of the CompanyManage contract development, review and management of the Company’s many service contracts for housekeeping, janitorial and staffing. This requires oversight of legal staff dedicated to supporting this function by partnership with the Company’s operational teams.
  • Manage, assist or perform necessary functions related to workforce housing which includes the review of housing leases and other housing documents which may include late notices and evictions.
  • Collaborate with management to devise efficient legal strategies and manage request for legal services within the Company.
  • Oversee, manage and assist in development and management of internal governance policies, legal policies and regularly monitor compliance.
  • Research and evaluate different risk factors regarding business decisions and operation.
  • Apply effective risk management techniques and offer proactive advice on possible legal issues.
  • Communicate and negotiate with external parties (regulators, external counsel, public authority etc.), creating relations of trust and obtaining positive results for the company and the company’s interest.
  • Draft and solidify agreements, contracts and other legal documents to ensure the Company’s full legal rights.
  • As assigned provide clarification on legal language or specifications to everyone in the organization.
  • CGC will supervise the Company’s Associate General Counsel, Legal Assistant/Paralegal and other employees as needed.
